This End User License Agreement (Agreement) is a legal agreement between you (User) and Advisory Insurance Brokers Limited (04043759) a company registered in England and Wales with a registered address at 2 Minster Court, Mincing Lane, London EC3R 7PD (Licensor) for the use of the app.metfedinsurance.co.uk website (Website). By accessing or using the Website, User agrees to be bound by the terms of this Agreement.
1. License Grant. Subject to the terms of this Agreement, Licensor grants User a non-exclusive, non-transferable license to access and use the Website solely for User's personal non-business purposes.
2. Restrictions. User shall not, and shall not permit others to: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Website; (b) reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Website; (c) use the Website in any manner that infringesLicensor's intellectual property rights or violates any applicable law or regulation; or (d) remove any proprietary notices or labels on the Website.
3. Two-Factor Authentication. User agrees to use the two-factor authentication system and/or other procedure facilitated by the Website to validate the User's identity. Licensor reserves the right to prevent a specific user from passing the authentication stage for any legal reason including suspected fraud or misrepresentation.
4. Form Submission. User may use the Website to submit forms to Licensor and other third parties. User is solely responsible for the accuracy and completeness of any information submitted through the Website.
5. Cookie Policy. User acknowledges that Licensor uses cookies on the Website to improve User's experience. User should refer to the Cookie Policy available below for further information.
6. Privacy Notice. User acknowledges that Licensor processes User's personal data in connection with the use of the Website. User should refer to the Privacy Notice for further information.
7. Ownership. The Website and all intellectual property rights therein are and shall remain the property of Licensor or its licensors. User explicitly acknowledges that logos, business names, trademarks, and any other proprietary marks displayed on the Website are owned by Licensor and reserved by Licensor.
8. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws applicable in England. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Removal of Website. Licensor reserves the right, in its sole discretion, to remove the Website at any time without notice to User.
10. Disclaimer of Warranties. The Website is provided on an "as is" and "as available" basis. Licensor disclaims all warranties, whether express, implied or statutory, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability. In no event shall Licensor be liable for any indirect, incidental, consequential, special or exemplary damages arising out of or in connection with this Agreement or the use of the Website, even if Licensor has been advised of the possibility of such damages. Licensor's total liability to User for any and all claims arising out of or in connection with this Agreement or the use of the Website shall not exceed the amount paid by User to Licensor for use of the Website.
12. Limitation of Liability. Nothing in this Agreement shall limit or exclude Licensor's liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation. Subject to the foregoing, Licensor shall not be liable to User for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with this Agreement or the use of the Website, even if Licensor has been advised of the possibility of such damages. In all other cases Licensor's total liability to User for any and all claims arising out of or in connection with this Agreement or the use of the Website shall not exceed the amount of £20.
13. Termination. Licensor may terminate this Agreement at any time for any reason without notice.
14. Notices. All notices and other communications required or permitted under this Agreement to the Licensor shall be in writing to advisorylegal@ardonagh.com. or to the registered office of the Licensor. If sent by email notice shall be deemed given immediately upon sending provided the sender does not receive an automated message to the effect that the email could not be delivered. If sent by any other method notice shall be deemed given on the business day it is received by Licensor.
15. Entire Agreement. This Agreement constitutes the entire agreement between User and Licensor with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
